IR35 was implemented almost 12 years ago to put a stop to an increasingly common tax dodge among freelancers. More and more employees were leaving their job, setting up as a limited company (or \u2018personal service company\u2019) and returning to the same role as a contractor.<\/p>\n\n\n\n<p>Workers liked it because they got to pay less tax. Companies liked it because they avoided some of the risks and obligations of being an employer.<\/p>\n\n\n\n<p>However, the taxman didn\u2019t like it and pulled the plug \u2013 while simultaneously handing the culprits some pretty hefty bills for unpaid tax.<\/p>\n\n\n\n<p>So, to avoid headaches and hefty bills of your own, you\u2019ll want to make sure you\u2019re <strong>legitimately<\/strong> maximising your take-home pay. To do that, you need to determine <a href=\"https:\/\/www.gov.uk\/guidance\/check-employment-status-for-tax\">whether you\u2019re inside or outside IR35 legislation<\/a>. And more importantly, work out how to stay there.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>IR35 in a nutshell<\/strong>:<\/h2>\n\n\n\n<p>If you\u2019re in &#8216;deemed employment&#8217;, you\u2019re <strong>inside<\/strong> IR35 and subject to higher tax.<\/p>\n\n\n\n<p>If you\u2019re self-employed, you\u2019re <strong>outside<\/strong> IR35.<\/p>\n\n\n\n<p>Contractors operating through umbrella companies effectively become employees paying PAYE and avoid the issue of IR35 altogether.<\/p>\n\n\n\n<p>Simple enough. However, as a contractor, maintaining the distinction between &#8217;employed&#8217; and &#8216;self-employed&#8217; is the tricky bit. If HMRC have an inkling that you\u2019re actually a \u2018disguised employee\u2019, it\u2019s possible they\u2019ll investigate you and your business.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Avoidance of doubt<\/strong><\/h2>\n\n\n\n<p>Demonstrating independence is the key here. You need to show HMRC that you\u2019re a specialist; a business that determines its own methods of work, as it sees fit, under reasonable direction from your client. In other words, very much NOT an employee.<\/p>\n\n\n\n<p>How do you do that? Thankfully, if you\u2019re a business operating on its own terms, there are some practical ways to show it:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Make sure it\u2019s clear it\u2019s your company \u2013 not necessarily you specifically \u2013 that carries out contracts and that your company always has the right to substitute workers (where reasonable).<\/li>\n\n\n\n<li>Ideally, have a series of limited individual projects each with a start and end date so there\u2019s not one long, continuous contract. Try to have a contract or specific deliverable for each part of a particular project rather than a general description for a lengthy fixed period.<\/li>\n\n\n\n<li>Make sure your company\u2019s contracts have clauses for immediate dismissal for unsuitable workers, rights of substitution and a no mutuality of obligation clause.<\/li>\n\n\n\n<li>Remove contractual benefits for workers such as paid holiday, paid sick leave, time off for training etc.<\/li>\n\n\n\n<li>Advertise and market your company name, not yours.<\/li>\n\n\n\n<li>Have <a href=\"https:\/\/www.policybee.co.uk\/professional-indemnity-insurance\" target=\"_blank\" rel=\"noopener noreferrer\">professional indemnity insurance<\/a>, <a href=\"https:\/\/www.policybee.co.uk\/public-liability-insurance\" target=\"_blank\" rel=\"noopener noreferrer\">public liability insurance<\/a> and <a href=\"https:\/\/www.policybee.co.uk\/employers-liability-insurance\" target=\"_blank\" rel=\"noopener noreferrer\">employers\u2019 liability insurance<\/a> in the company name, not yours.<\/li>\n\n\n\n<li>Ensure your company is paid by invoice.<\/li>\n\n\n\n<li>Work at times and locations that suit you, not just the end client.<\/li>\n\n\n\n<li>Try to carry out work for different clients over the same time period.<\/li>\n\n\n\n<li>Have company-headed stationery and business cards, and a corporate website.<\/li>\n\n\n\n<li>Have your own company office space (even if it&#8217;s just a room in your house) and business equipment.<\/li>\n\n\n\n<li>If you can, avoid working alongside your clients\u2019 employees and try not to have the same line manager. HMRC could view this as &#8216;integration into the workforce&#8217;.<\/li>\n\n\n\n<li>Try to employ other consultants in your business if possible. This will help with providing a substitute worker if needed.<\/li>\n\n\n\n<li>Be VAT registered.<\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What to do next<\/strong><\/h2>\n\n\n\n<p>IR35 and its implications are something you need to understand. If you\u2019re in any doubt, talk to a specialist contractor accountant.
